Hot Tips and Techniques to Deal With Troubled CRE Loans

MBAofNY has invited four experts on troubled commercial real estate loans to give you specific suggestions about how to deal with problems and issues that arise in this area. After each speaker comments on their particular topic, we will open up the floor to questions and answers. You will return to your office with pointers, ideas, and information you did not already have, to help you continue to work your way through the CRE crisis of 2009.

Here are the speakers and the areas each will cover. (Yes we know each subtopic could be a day-long seminar. Instead, we’ve asked each speaker to give you just a handful of new “nuggets” and ideas about their topic – targeted to people who already have significant knowledge of the topic -- rather than cover it in depth.)

JOSHUA STEIN will chair the program and also discuss enforcement of guaranties and some common workout structures and the issues they raise. Joshua is a partner at Latham & Watkins LLP, chair of MBAofNY’s education committee, and author of over 150 articles and four books on commercial real estate financing.

RICHARD S. FRIES will discuss how to negotiate and litigate at the same time; lender liability risks; and what you need to do before and after you send that notice of default or notice of acceleration. Richard is a partner at Bingham McCutchen LLP, and leads its real estate restructuring and loan workouts group. He handles commercial loan originations, workouts and loan enforcement. He was a primary author of New York’s nonjudicial foreclosure statute.

DAVID J. GENOVA, P.E., will discuss the special pleasures of taking over a troubled construction project; where and how to find typical construction problems; and how exit strategies vary at different stages of completion. David founded Cygnus Development Consulting LLC, which provides development management and advisory services for owners, investors and lenders, with a focus on troubled assets – particularly multifamily, condominium, and hospitality. Before Cygnus, David was senior vice president of a national consulting firm, where he managed all development and construction consulting as well as bankruptcy litigation support.

MARK A. IANNONE will discuss the psychology of dealing with borrowers; multiple players and multiple agendas within the borrower; and managing expectations within your own organization. Mark chaired MBAofNY for the year ending in summer 2002. Since 1998, he has been a principal of Heritage Realty Advisors, LLC, a firm that advises on commercial loan restructurings and workouts. At Heritage and in other positions dating back to 1988, Mark has handled complex workouts for The Dime Savings Bank of New York, Tarragon Corporation, Hudson Realty Capital, and many other lenders.
